Anthropic files S-1 for Nasdaq listing

Anthropic filed an S-1 for a Nasdaq listing while reporting $11.6 billion in Q2 2026 revenue, its first GAAP operating profit, and long-term compute commitments of $780 billion to $810 billion.

THE-DECODER

Anthropic filed its S-1 with the SEC for a planned Nasdaq listing under the ticker ANT. Goldman Sachs and Morgan Stanley were named as the lead banks on the offering.

In the filing, the company said revenue reached $11.6 billion in the second quarter of 2026 and that it recorded its first GAAP operating profit, at $974 million. It also said first-half 2026 revenue was $16.3 billion.

Anthropic said roughly $780 billion to $810 billion of compute capacity had been contracted with providers including Broadcom, Google, Amazon and Microsoft. The company said it was also building its own data centres under the name Anthropic Direct.

The filing said 80 percent of revenue came from usage-based billing, with the rest from subscriptions. It said net revenue retention was about 900 percent, more than 11,900 customers paid above $100,000 a year, and about 250 paid more than $10 million.

Anthropic also said no single customer made up more than 10 percent of revenue, while five customers together accounted for 25 percent. The article said the company compared favourably with rival OpenAI on private valuation and that Nvidia, Broadcom and AMD shares rose after the filing became public.

How the source tells it

The piece read like investor-facing boosterism with an undercurrent of caution, mixing celebratory growth comparisons with warnings about future compute bills.

  • hype and boosterism superlative growth figures and valuation comparisons are used to frame the filing as a win for Wall Street
  • alarm and threat inflation the scale of long-term compute obligations is emphasised as a possible danger to the market
  • speculation presented as fact conditional claims about concentration risk, pricing power and future demand are advanced without hard evidence
